The access and use of the Ugroo ERP platform implies the acceptance of the conditions described below.
These Terms and Conditions of Use ("Terms") govern the access to and use of the Ugroo ERP platform, its modules, web applications, mobile applications, and associated services (collectively, the "Service").
By registering, accessing, or using the Service, the User acknowledges that they have read, understood, and fully accepted these Terms, the Privacy Policy, and any supplementary policies published by Ugroo LLC.
If the User does not accept the Terms, they must not access or use the Service.
Ugroo: Refers to Ugroo LLC, its affiliates, authorized partners, and contractors.
User: Any individual or legal entity that registers and uses the Service.
Account: A unique profile created by the User to access the Service.
Tokens: Digital consumption units through which Users access and use Ugroo functionalities under the "pay-as-you-go" model.
Partners: Independent companies or professionals authorized by Ugroo to provide implementation, support, or consulting services.
Ugroo provides an enterprise resource planning software platform (ERP SaaS) that enables the management of operations, finance, sales, inventory, projects, and other administrative processes.
Use of the Service requires an internet connection and operates under a pay-as-you-go model through the purchase of tokens, in accordance with the pricing and conditions published on the website.
To access the Service, the User must register and provide truthful, complete, and updated information.
The User is responsible for maintaining the confidentiality of their login credentials and for all activities conducted under their Account.
Ugroo may suspend or cancel accounts that violate these Terms or are used for fraudulent, unlawful, or unauthorized purposes.
Each account corresponds to one individual or organization; sharing login credentials across different organizations is not permitted.
1. Billing Model
The Service operates under a "pay-as-you-go" model in which the User purchases tokens representing consumption units or transactions within the system.
2. Billing
All charges are expressed in United States dollars (USD) or their equivalent in the User's local currency.
The User authorizes Ugroo or its payment processors to charge the corresponding amounts based on consumption or the active plan.
3. Renewal and Cancellation
Tokens have an expiration period as indicated on the website or purchase receipt.
Tokens are non-refundable once used or after their expiration date.
The User may cancel their account at any time; however, no refunds will be issued for unused tokens or unused consumption.
Ugroo does not include support, training, or implementation services within the cost of platform access.
Such services are provided by authorized Partners under direct agreements between the User and the Partner.
Ugroo is not responsible for the services, results, or obligations assumed by third parties, including official Partners.
Ugroo may offer prepaid implementation programs through its partners, which will be subject to specific terms.
All intellectual and industrial property rights over the software, source code, design, interface, logos, trademarks, and other components of the Service belong exclusively to Ugroo LLC.
The User receives a limited, non-exclusive, non-transferable, and revocable license to use the Service in accordance with these Terms.
The User is prohibited from modifying, decompiling, copying, sublicensing, or reproducing the software or its contents in whole or in part without Ugroo's written permission.
The User agrees to:
Use the Service in accordance with applicable law, good faith, and these Terms.
Not use the Service for illegal, defamatory, fraudulent, or harmful activities.
Refrain from introducing malicious code, viruses, or performing reverse engineering.
Maintain the confidentiality of their credentials and the security of their data.
Notify Ugroo immediately of any unauthorized use of their account.
Ugroo provides the Service "as is," without express or implied warranties of suitability for a particular purpose.
Ugroo does not guarantee uninterrupted or error-free availability; however, reasonable efforts will be made to maintain 99% annual uptime.
Ugroo shall not be liable for:
Loss of data, revenue, or profits
Indirect, consequential, or incidental damages
Failures attributable to third parties, Partners, or internet services
Ugroo's maximum liability shall not exceed the amount actually paid by the User during the three (3) months preceding the claim.
Ugroo will process personal data in accordance with its Privacy Policy published at ugroo.com/privacy.
Ugroo complies with applicable regulations, including:
Mexico's Federal Law on Protection of Personal Data
The European Union's GDPR
The California Consumer Privacy Act (CCPA)
The User is responsible for obtaining required consent from their own customers or end users whose data is processed through the platform.
Ugroo may suspend or permanently terminate access to the Service if:
The User breaches these Terms or misuses the platform.
Fraudulent or suspicious activity is detected.
Required for technical, maintenance, or security reasons.
Ugroo may retain the minimum necessary information for legal or audit purposes in accordance with its Privacy Policy.
Ugroo may amend these Terms at any time. Updated versions will be published on the website with their effective date. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of the State of New York, USA.
Any dispute arising from or related to the Service shall be resolved through binding arbitration in New York City, under the rules of the American Arbitration Association (AAA). The arbitral award shall be final and binding on both parties.
If any provision of these Terms is declared invalid or unenforceable, it shall be interpreted as closely as possible to the original intention, and the remaining provisions shall remain in full force and effect.
